CAMPBELL SOUP COMPANY ‘HACK THE KITCHEN’ COMPETITION OFFICIAL RULES – NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. OPEN TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND D.C., 18 YEARS OF AGE OR OLDER AT TIME OF ENTRY. VOID IN PUERTO RICO AND WHERE PROHIBITED.
1. How to Enter: Beginning at 9:00 a.m. Pacific Standard Time (“PST”) on January 14, 2013 until February 1, 2013 (the “ Entry Period”), you may enter the Campbell Soup Company ‘Hack The Kitchen’ competition (the “Competition”) by visiting the website (www.hackthekitchen.com) (the “Website”) and completing the online entry form and submitting an Idea Submission (as defined below). All Submissions must be received by 11:59:59 p.m. PST on February 1, 2013 to be eligible. Each Submission must include entrant’s full name and age if an individual person, or a team name if being entered by more than one person, organization or corporate entity (the “Entrant”) address, phone number (including area code), email address, and must comply with all requirements defined in Section 2(a) below. Up to thirty (30) Semi-Finalists, will be notified via email sent to the email address on the entry form on February 11, 2013, and will be provided with access to the Campbell Kitchen API and will be required to submit a Code Submission complying with the requirements in Section 2(b) by March 1, 2013. Up to ten (10) Finalists will be notified via e-mail or phone on March 11, 2013 (the “Notification”) and will have the opportunity to present their idea to a panel of judges at Google Headquarters in New York City on March 22, 2013 (the “Event”). Finalists will be required to email a deck of their presentation to Sponsor as outlined in Section 2(c) by March 20, 2013. A 1st place Champion and Runners-ups will be selected by the judges according to the criteria set forth in section 8 at the Event.
TRAVEL COSTS AND ANY COSTS ASSOCIATED WITH THE PRESENTATION FOR THE EVENT ARE THE RESPONSIBILITY OF THE FINALISTS.
2. Submission Requirements:
(a) Idea Submissions for the Competition must consist of an entry form which can be found on the Website, and the Submission (collectively, the “Submissions” and each, a “Submission”). All Submissions become the property of Sponsor and will not be returned. Incomplete and/or Submissions that are not received by 11:59:59 pm PST by the deadline date for any phase of the Competition or Submissions that do not comply with the requirements on the Website and these Official Rules will be disqualified.
Complete Submissions that are received within the Entry Period and comply with these Official Rules shall collectively be referred to herein as the “Eligible Submissions”. Submissions that are not original work of the Entrant and/or illegible will not be accepted. Submissions must be in the English language.
Limit of one (1) entry submitted per Entrant during the Entry Period. If multiple entries are received, only the first entry will be accepted and additional entries will be disqualified. Entrants are allowed to work in teams (defined as more than one person, with each team member having ownership rights to the entire Submission and/or portions of the Submission). Teams must nominate one representative who will be the official entrant and the point of contact on behalf of the team. Teams that are selected as a Finalist will be required to provide proof of acceptance of the submission requirements and competition rules by all the team members. Any attempt by any Entrant to obtain more than one (1) entry by using multiple/different email addresses, identities, registrations or logins, or any other methods may void that Entrant’s submissions and that Entrant may be disqualified from the Competition. Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, promotion entry services) will void all submissions by that Entrant. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the Entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Finalists and potential winners may be required to show proof of being the authorized account holder.
All Submissions must be consistent with Sponsor’s image and must not include: (a) content that violates any third party rights, including, but not limited to, copyrights, trademark or patent rights; (b) defamatory language; (c) threatening language; (d) language that is sexually explicit, obscene, or indecent; (e) language that promotes alcohol (unless included in recipe), tobacco, or drug use; or (f) any other language that Sponsor determines is not reasonably related to the Competition. Sponsor reserves the right to disqualify any such Submissions in its sole discretion.
(b) If a Submission is selected as a Semi-Finalist and is invited to make a Code Submission for the Competition, the Code Submission must include: the submission form (PDF); full code; written description of the submitted application; indication of programming languages and platform technologies and open source code used in the app; a video walk-through of the Submission (not to exceed 2 minutes must be provided as a URL to a private video on YouTube or Vimeo); an architecture diagram in PDF or .JPEG format; testing results; and any known bugs or performance issues. These requirements can be found on the Website.
The application can consist of both “original code”, “database code” and publicly available “third-party APIs” used in that code to execute certain functions. There are no restrictions on which third-party APIs can be used except that participants must be able to obtain the right to use them and the Campbell’s Recipe API must be among them. Refer to the Website for limitations and more detailed information relating to the Campbell’s Recipe API.
Submissions can use any combination of the following languages and frameworks when building their original code: HTML, HTML5, CSS, JavaScript, PHP, .NET (C#), Objective-C for iOS, Java for Android and Blackberry, jQuery, jQTouch, PhoneGap, and Sencha Touch. New languages or frameworks such as Clojure, node.js, or Go will not likely score well on the technical scale due to long-term code maintenance issues.
Any code that is required to be installed on a server (web site, web services, helper applications) must be able to be installed in an Amazon EC2 instance, and run under a load balancer. It is not a requirement that the application be submitted in this configuration, but there should be no dependencies on other cloud platforms such as Microsoft Azure, or specific access to the hardware layer (i.e.: writing to the c:\ drive), or server “in-memory” sessions. If an application relies on a backend database, that database will need to be migratable to SQL Server and is required to not be in an incompatible form such as CouchDB, MongoDB, Cassandra, etc.
All third party licensing requirements (for example, production license for PhoneGap, or license use of Google Maps) must be identified, procured and provided by the Semi-Finalists when the applications are submitted for judging.
(c) If a Code Submission is selected as a Finalist, the Entrant must provide either a PowerPoint (.ppt), Keynote (.key), Google Presentation doc (URL) or a private Slide Share doc (URL) outlining the 3 minute presentation the Finalist will make to the Judges during the Event (the “Deck”). Deck must be received by Sponsor no later than 11:59:59 pm PST on March 20, 2013. Presentations will be evaluated based on the criteria in section 8 of these Official Rules. If Entrant is selected as a prospective Finalist, Entrant will be required to execute and return, via overnight delivery, fax or email, releases, ownership and additional documentation in the form approved by Sponsor within 5 business days of Notification and receipt of documentation or such prospective Finalist will be disqualified, and the next highest scoring Submission will be selected as an alternate Finalist. If Sponsor is unable to contact the Finalist within three (3) days from first Notification attempt, if the Finalist fails to complete and return all requested forms by the specified date, or if the Finalist fails to comply with any of the requirements, the next-highest scoring Submission shall be selected as an alternate Finalist. Finalists will be notified by email, telephone and/or overnight courier on or about March 11, 2013.
Idea Submission, Code Submission and Deck shall each individually be referred to as the Submission or collectively, the Submission for the purpose of these Official Rules and the Competition.
3. Representations and Warranties: By making a Submission Entrant represents and warrants that: (a) the Submission is an original work created solely by Entrant; (b) Entrant owns all rights to the Submission; (c) the Submission complies with all requirements of these Official Rules; (d) Entrant understand that other Entrants may submit Submissions that are identical to yours and that you shall not have any claim against any other Entrant or Sponsor arising out any such similarity or be entitled to any compensation because of any such similarity; (e) Entrants who are individuals have full authority to transfer and/or license all rights in the Submission to Sponsor or other third party without requirement of any additional consent and Entrants who are submitting the Submission on behalf of a team further represent and warrant that Entrant has the authority to bind the team to these rules and to transfer and/or license all rights to the Submission to Sponsor or other third party on behalf of the team and without any additional consents; (f) Entrant acknowledges that Sponsor engages, has engaged and will in the future engage in the development, preparation, production, acquisition and dissemination of creative, educational, artistic and other material (collectively, the “Materials”), including without limitation Materials that are or may be similar or identical to a Submission; (g) Entrant acknowledges that other persons, including employees of Contest Entities, may previously have originated and may hereafter originate Materials that are similar or identical to a Submission; and (h) Entrant agrees that they will not be entitled to any compensation resulting from the use by Sponsor of any material that is similar or identical to the Submission.
4. Confidentiality: Entrant agrees that it will not disclose the Submission or underlying idea in its Submission to any third party.
5. Eligibility: This Competition is open only to legal residents of the 50 United States and D.C. who are 18 years of age or older at time of submission, as well as entities or organizations located within the 50 United States and D.C. Employees, directors and officers and members of their immediate families (spouses, parents, siblings, children and each of their respective spouses) and other household members (whether related or not) of the Competition Entities (as defined in section 7) and their respective parent companies, subsidiaries, affiliates, and their agencies and all others associated with the Competition in any way are not eligible to enter or participate in making any Submission.
6. Privacy: When you submit at the Website, you may request to receive promotional emails and reminders for the Competition and information about the Sponsor. Consenting to receive such emails is optional and does not improve your chances of winning. In the event you do consent to receive these emails, such emails shall be used only for the purpose of administering this Competition and will be subject to the privacy policy of Sponsor which is available at http://www.campbellsoupcompany.com/privacy_policy.asp. Sponsor has no liability to any Entrant in the event of missed deadlines by the Entrant. Except where prohibited by law, participation in the Competition constitutes your consent, and where applicable, the consent of the individuals contributing to a team submission, to Sponsor’s use of your or their names, likenesses, Submissions, and state of residence for promotional purposes in any media without further payment or consideration. Sponsor may require additional documentation to be executed by the contributing individuals. Failure to execute and return such documentation may result in any Submission being disqualified. Prior to selection of the Finalists, Submissions may be featured on the Website; however, in no way shall such promotion influence the selection of the Finalists.
7. Limitations of Liability: Sponsor, its respective affiliates, subsidiaries, parent, agencies, and their respective officers, directors, shareholders, employees and agents, and any and all Internet servers and access provider(s) (collectively the “Competition Entities”), are not responsible for: any incorrect or inaccurate submission information; human error; technical malfunctions; failures, omission, interruption, deletion, or defect of any telephone network, computer online systems, computer equipment, server providers, or software, including any injury or damage to entrant’s or any other person’s computer relating to or resulting from participation in this Competition; inability to access the Website; theft, tampering, destruction, or unauthorized access to, or alteration of submissions; transactions that are processed late or incorrectly or are incomplete or lost due to computer or electronic malfunction or traffic congestion on the Internet or at any web site; printing or human or other errors; and any submissions which are late, lost, incomplete, misdirected, stolen, mutilated, illegible or postage due, or any combination thereof. Proof of mailing, in person submission, or online submission is not considered proof of delivery or receipt. All submissions become the property of Sponsor and will not be returned. By entering, all Entrants also agree to release, discharge, indemnify and hold harmless the Competition Entities from and against all claims and damages or liability arising in connection with each entrant’s participation and/or submission in the Competition and/or their receipt or use of any incentive awarded in this Competition or due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any incentive or participation in any Competition-related activity or participation in this Competition. Any and all warranties and guarantees are subject to the respective manufacturer’s terms. Except where prohibited by law, the Champion’s and Runners-up’s Submission and acceptance of the incentive constitutes permission for the Competition Entities to use said winners’ names, and where applicable the names of individuals contributing to a team submission as listed on the Website, photographs, likenesses, statements, biographical information, voices, and city and state addresses on a worldwide basis, and in all forms of media, in perpetuity, without further compensation.
8. Judging: During the Competition Sponsor and/or its agencies will evaluate all Submissions based on specific criteria for each phase. Idea Submissions will be scored on the basis of: alignment to brief (30%); novelty and innovation (30%); relevance and value (30%); and feasibility (10%). Up to thirty (30) Submissions with the highest scores will be selected as Semi-Finalists to move into the next phase, Code Submission. Code Submissions will be evaluated based on: alignment to brief (15%); novelty and innovation (30%); relevance and value (20%); design and functionality (20%); and scalability (15%). Up to ten (10) Submissions earning the highest scores will be selected as Finalists. Finalists will be notified by email or phone of their selection as Finalists on March 11, 2013 and will be invited to travel to Google Headquarters in New York City on March 22, 2013 to present to the Judges at the Event. In the event a Finalist is not able to travel to the Event, the Finalist will be able to participate in the Event via video conferencing. At the Event, the Finalists will present their Submission to a panel of judges. The Judges will score each Finalist based on: alignment to the brief (25%); novelty and innovation (30%); relevance and value (30%); and overall presentation (15%). The Finalist with the highest score will be the 1st place Champion. The Finalist with the second highest score will be the Runner-up. In the event of a tie, the tie will be broken based on the novelty and innovation score. If a tie still remains, that tie will be broken based on the alignment to brief score. Judges’ decisions with respect to the winners and other matters pertaining to the Competition shall be final.
9. Ownership of Submissions: By submitting, an Entrant acknowledges and agrees that: (a) Entrant retains the ownership rights to its idea unless selected as Champion or Runners-up as provided in section 11; (b) Entrant, and where appropriate, the individuals comprising a Team, grant Sponsor a perpetual, royalty-free right to the idea throughout the world without limitation and to all copyright, trademark, and other proprietary rights in the Submission; (c) Without limitation of the foregoing, Sponsor may use, without any payment or other obligation whatsoever to any Entrant or Team, any part of the Submission, and any idea or concept contained therein. As an inducement to Sponsor to accept each Submission for entry into the competition, Entrants hereby waive any claim or right of action against Sponsor or its successors in connection with the Sponsor’s use of any materials that are similar or identical to the Submissions, or use of any Submissions (or any portions thereof) whether or not such uses are similar or identical to a Submission or contain any features, ideas, material and/or elements that are similar or identical to those contained in a Submission. Acceptance by Sponsor of a Submission is not an admission by Sponsor of the novelty or originality of the Submission. (d) Entrant’s Submission, if selected as a Finalist, is a "work made for hire" (as that term is used in the United States Copyright Act of 1976, as amended); (e) Entrant agrees to execute and deliver all documents as required by Sponsor as may be necessary to effectuate Sponsor’s license to or ownership of Submission; and (f) Sponsor may exploit the Submission (and all rights therein) in any manner throughout the world without restriction of any kind, or payment to, or consent from, anyone. Sponsor reserves the right to modify or edit the winning Submission for content including all copyrights and trademarks, and Sponsor or its assigned agent(s), will have the right to reproduce, publish, adapt, modify and/or revise the Submission, in its sole discretion, in any manner or form throughout the world, in perpetuity. Sponsor will own all rights to the winning Submissions.
10. Conditions of Entry: This Competition is governed by U.S. law and is subject to all federal, state and local laws and regulations. Void where prohibited by law. Submissions that have been tampered with or altered are void. If, in the Sponsor’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Competition, or if computer virus, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise or corrupt or affect the administration, integrity, security, fairness, or proper conduct of the Competition, the Sponsor reserves the right at its sole discretion to disqualify any entrant who tampers with the entry process and void any submissions fraudulently entered, to modify or suspend the Competition, or to terminate the Competition and proceed with the judging process, as outlined in section 8, using all eligible, non-suspect submissions received as of the termination date. Should the Competition be terminated prior to the stated expiration date, notice will be posted on the Website. Any attempt by an Entrant or any other individual to deliberately damage any web site or undermine the legitimate operation of the Competition is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law.
CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
11. Incentives: The 1st place champion (the “Champion”) shall receive $25,000 paid by Sponsor for ownership of ideas, concepts, code and intellectual property. Champion will also have the opportunity to enter into a $25,000 contract to develop a market-ready application. The selected Runner-up(s) (“Runners-up”) will receive $10,000 paid by Sponsor for ownership of ideas, concepts, code and intellectual property for other great ideas that could be developed by Sponsor in the future.
Submissions in this Competition may be used to provide actual, working solutions for Sponsor and by participating, all Entrants are granting Sponsor the right to utilize all concepts and other intellectual property developed for the Competition or incorporated into their Submissions.
As a condition of receiving incentives, Champion and Runners-up will be required to sign any and all documents required by Sponsor and in the form acceptable to Sponsor, granting Sponsor ownership of the concepts and intellectual property in the Submission, agreeing that Champion and Runners-up will keep such information confidential and will not use it or allow others to use it for any purpose, and representing that the Submission represents their own work and is not owned by or licensed to another party, other than permitted open source or other publicly available components or necessary third party licenses that have been procured, which must be disclosed to Sponsor. Champion will further agree to make modifications to code and design as required by Sponsor through to the launch of the app. If winners fail to execute any or all such documents required by Sponsor, their Submission will be declared void and Sponsor will have no further obligation to them and the next highest scoring Submission will be selected as an alternate winner.
Sponsor may cancel or modify the Competition, including these Official Rules, and determine the criteria or methodology upon which judging and selection will occur, including whether or not any Submissions qualify as “working code” eligible for incentive or other awards.
All decisions of the judges are final and binding in all matters relating to this Competition. Winners are responsible for any and all federal, state and local taxes. Any necessary tax documentation will be provided by the Sponsor.
